The KFC U.S. system has declined from 3,919 total locations at end of 2022 to 3,638 at end of 2024, a net loss of 281 locations over two years. Terminations have accelerated sharply, with 151 franchised outlet terminations in 2024 and 156 in 2023, far outpacing new openings of 28 and 30 respectively.

Renewal Requires Then-Current Agreement With Potentially Different Terms

Upon renewal, franchisees must sign the then-current franchise agreement, which may contain materially different fees, territory definitions, technology standards, or operational requirements than the original agreement. Franchisees must also update their outlets to current standards and execute a general release as conditions of renewal.

Broad Post-Term Non-Compete Restricts Industry Participation

Upon termination or expiration of the franchise agreement, franchisees are prohibited from involvement in any competing business for one year within a 10-mile radius of the outlet or any other KFC system location. This restriction extends beyond the franchisee's own territory and may limit future career and investment options.
